1. Overview of the Program
The Book a Wizard (BaW) Ambassador Program offers individuals the opportunity to earn a commission by referring potential clients in need of IT support. By providing contact information for potential clients, Ambassadors can earn a 10% commission on the first three months of billable work with referred clients.

2. Eligibility Criteria
Geographical Restrictions: There are no geographic restrictions for participation in the program. Ambassadors from any country may refer clients, provided BaW services are applicable in the client’s region.
Tax and professional set-up: To receive commission payments, Ambassadors must be able to issue professional invoices in compliance with local tax regulations. This may require registration as self-employed and obtaining a tax number, depending on your country’s tax laws.
If you are already registered as self-employed, you can invoice BaW using your professional tax number. If you are not yet registered, check with your local tax office to determine the necessary steps for issuing invoices legally.
Employees: If you are employed, review your contract and employer policies, as some companies require approval for secondary activities. Transparent communication is recommended to ensure compliance.

3. How It Works
1) Submit a Referral: Provide BaW with the name and contact details of a company in need of IT support via our contact form or email.
2) Ambassador Referral Confirmation: BaW will confirm receipt of a referral submission in writing (email or other written communication). If an Ambassador does not receive confirmation within 5 business days, they should follow up to ensure their referral was received.
3) BaW Handles the Rest: BaW will reach out to the company, discuss their needs, and handle all further communications and negotiations.
4) Commission Notification: If BaW secures the company as a client and billable work is performed, the Ambassador will be notified of their earned commission after client payment of the first 3 months of the client relationship to BaW.
5) Invoice Submission: The Ambassador must submit an invoice to BaW within 30 days of receiving the notification of their earned commission (invoice template available upon request).
6) Commission Payment: BaW will process the payment within 30 days after invoice reception to the provided EU bank account.

4. Commission Structure & Payment
Commission Rate: Ambassadors earn a 10% commission on billable work completed during the first three months of any referred client’s contract. If the work concludes before three months, the commission will apply to the total billed amount for the shorter period.
Commission Transparency: BaW calculates commissions based on internal billing records. BaW does not disclose client invoices, payment details, or financial records as proof of commission calculations. Ambassadors acknowledge and accept this process as part of the program terms.
Currency and Payment in Euros: All commission payments are made in EUR. Any banking fees for currency conversion or international transactions are the responsibility of the Ambassador.
Payment Method: Commission payments are only made to EU bank accounts via direct bank transfer. If an Ambassador does not have an EU bank account, they are responsible for setting up one or arranging an alternative payment method that complies with EU regulations. BaW does not guarantee support for non-EU payment methods.
Additional Expenses: BaW will not reimburse the Ambassador for any expenses incurred in connection with the Ambassador Program.

5. Qualification
First-Come, First-Served: The first Ambassador to refer a client will be eligible for the commission. In case of multiple referrals for the same client, BaW determines the first referral based on the email timestamp. Referrals made after negotiations have already begun are not eligible.
Missing Information: If any required information is missing (e.g., tax number, invoice, EU bank account details), earned commissions will be disqualified.
Time Limitation:
Referrals will no longer qualify for a commission if no work is confirmed within 3 months of the initial referral.
If no invoice is submitted within 30 days of the commission notification, the commission will be forfeited.

6. Supervision and Responsibilities
BaW Supervision: BaW is solely responsible for communication, outreach, and negotiations with referred clients. Ambassadors are not involved in negotiations, budget tracking, or service delivery.
Tax and Social Security: Ambassadors are responsible for their tax and social security obligations, ensuring proper reporting of income in accordance with local tax laws. BaW recommends consulting a tax advisor for any questions related to tax reporting.
Employment Compliance: Ambassadors are responsible for ensuring compliance with their employment contracts (if applicable) and relevant employment laws. BaW is not liable for any issues arising from these matters.
Professional Behavior: Ambassadors are expected to act ethically and professionally when representing BaW. They must avoid making false claims about BaW’s services and must comply with all legal and ethical standards.

7. Confidentiality Clause
Non-Disclosure: Ambassadors agree not to disclose any confidential information provided by BaW, including client details, pricing, or business practices, to third parties unless explicitly authorized in writing by BaW.
Client Confidentiality: Ambassadors are prohibited from using any confidential information regarding referred clients for purposes other than fulfilling their role in the Ambassador Program.

8. Non-Compete Clause
Ambassadors agree not to participate in any other referral or affiliate programs related to IT services that directly compete with BaW. This restriction ends upon termination of participation in the program.

9. Termination of Agreement
Termination for Cause: BaW reserves the right to immediately terminate an Ambassador's participation if there is a breach of any provision of this Agreement.
Voluntary Termination: Either BaW or the Ambassador can terminate this Agreement for convenience at any time with 15 days’ written notice.
Post-Termination Payments: If an Ambassador’s participation is terminated, they will still be entitled to any unpaid commissions for work that was already initiated prior to their termination, in accordance with the regular payment schedule.
Program Termination: If BaW discontinues the Ambassador Program, all confirmed commissions will still be honored for eligible referrals, but no new referrals will be accepted after the termination date.

10. Dispute Resolution
Mediation Clause: Any disputes arising under this agreement will first be resolved through mediation. If unresolved, the dispute may be escalated to mutually agreed-upon arbitration in Berlin, Germany.
Mediation Cost Split: Mediation costs will be shared equally between both parties unless otherwise agreed.

11. Amendments and Updates
Notice Period for Changes: BaW reserves the right to amend or update these Terms and Conditions with a 15-day notice. Ambassadors will be notified of changes via email or other written communication.
Acceptance of Changes: Continued participation in the program after updates to the terms have been made will signify the Ambassador’s acceptance of the new terms.

12. Indemnification
Ambassador Indemnification: Ambassadors agree to indemnify and hold BaW harmless from any legal claims, damages, or liabilities that arise from their actions or negligence while participating in the program. This includes, but is not limited to, misuse of client information, breaches of confidentiality, or violations of third-party agreements.
Independent Contractor: The Ambassador is an independent contractor and is not authorized to bind BaW to any liabilities or obligations. The Ambassador will indemnify BaW from any obligations resulting from a determination that they are not an independent contractor.

13. Force Majeure Clause
BaW shall not be held liable for any failure to fulfill its obligations under this agreement due to circumstances beyond its control, including but not limited to natural disasters, pandemics, acts of government, or changes in law. Such events may suspend or release BaW from its obligations to the Ambassador.

14. Data Protection (GDPR Compliance)
BaW will process personal data of Ambassadors (e.g., names, bank details) solely for administering the program and making payments. All data will be handled in compliance with the General Data Protection Regulation (GDPR). Ambassadors have the right to access, modify, or delete their data upon request.

15. Anti-Money Laundering (AML) Compliance
BaW adheres to all applicable anti-money laundering (AML) regulations. All commission payments will be processed in accordance with AML laws to ensure transparency and legal compliance.

16. Governing Law
These Terms and Conditions are governed by the laws of the Federal Republic of Germany. Any disputes arising under these terms will be subject to the jurisdiction of the courts located in Germany.
